We welcome to our promotional messaging platform, mySandesh ("mySandesh" or the "Platform") -- a go to platform for effective marketing and targeted communication. With mySandesh, your business can unlock the power of personalized promotions, engaging campaigns and effective messaging to reach out to your business audience. Before you embark on this exciting journey of communication and connection with your business audience through mySandesh, it is important to understand and agree to our terms of service ("Terms of Service").

mySandesh is owned and offered by Valorem Stack Private Limited, a company incorporated under the laws of India and having its registered office address at GNGi Elite, 11/3, Service Rd, Popular Colony, Mangammanapalya, Bangalore, Karnataka, India 560068 ("Company"). By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by our Terms of Service. These Terms of Service incorporate, and include the Privacy Policy of mySandesh which sets out the terms on which mySandesh processes any personal data which it collects from the Users, or that the Users provide to mySandesh.

Please read the following terms and conditions carefully before opting-in/enrolling for mySandesh. In these Terms of Service, the term "User" or "You" refers to you, the person or entity using mySandesh. You can review the latest version of the Terms of Service at any time at this page. mySandesh reserves the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to mySandesh' application, website or platform (as maybe applicable). Following the posting of any changes, the User's continued use of or access to the mobile application, desktop application, website (as the case may be) or any other services from mySandesh, constitutes acceptance of such revised Terms of Service.

  1. Subscription Terms

    1. Subscription Services

      • mySandesh offers auto-renewable subscription services at INR 149 per month
      • The subscription provides access to premium features as displayed on the app's premium subscription page
    2. Billing and Auto-Renewal

      • Your subscription will automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period
      • Payment will be charged to your Apple ID account at confirmation of purchase
      • Your account will be charged for renewal within 24-hours prior to the end of the current period
      • The cost of renewal will be the same as the original subscription price unless otherwise notified
    3. Subscription Management

      • You can manage your subscription and turn off auto-renewal by going to your Account Settings in the App Store after purchase
      • No refund will be provided for the unused portion of the service when cancelling a subscription during an active period
      • If a subscription is cancelled, access to premium features will continue until the end of the current billing period
    4. Price Changes

      • If the subscription price changes, you will be notified and have the opportunity to review and accept the new price
      • If you do not accept a price change, your subscription will cancel at the end of the current billing period
  2. Use of the Platform

    1. mySandesh is intended for personal use by businesses to send or share personalized greetings or marketing messages with its business audience. By agreeing to these Terms of Service, a User (where such User is a natural Person) represents that such User has at least attained the age of majority i.e. 18 years, and is competent to contract.

    2. Additionally, where the User is registering on behalf of, and is the authorized representative of, a company, partnership or any other legal entity, such User has been duly authorized by such entity and is permitted under applicable laws to accept these Terms of Service.

    3. The User represents and warrants that the User has the full power and authority to accept the Terms of Service, access the Platform and use the services provided by mySandesh, under these Terms of Service and that these Terms of Service are binding upon the User and enforceable in accordance with their terms.

    4. All services by mySandesh are governed by these Terms of Service. You shall not use mySandesh for any illegal or unauthorized purpose. You agree to use the Platform in a manner that is lawful and ethical. You shall not use the Platform to transmit any unlawful, harassing, defamatory, or otherwise objectionable material.

  3. Intellectual Property

    1. All content provided through the Platform, including greetings, messages and graphics is the property of the Company. By accessing our Platform, You are granted a limited, non-exclusive and non-transferable license to use the Platform for its intended purposes. This license is solely granted for the duration of your use of the Platform and is subject to the compliance with our Terms of Service.

    2. The User agrees and acknowledges that no part or parts of the Platform shall be reproduced, distributed, republished, displayed, broadcast, hyperlinked, transmitted, adapted, modified to create derivative works or otherwise commercially exploited in any manner or by any means or stored in an information retrieval system.

    3. The User shall not claim any rights or interest in the intellectual property rights of mySandesh, or in connection with any other services, features or product offered by mySandesh to the User.

  4. Modifications to the Platform

    We reserve the right to modify, suspend, or discontinue the Platform at any time without prior notice. Further, the Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

  5. Indemnification and Limitation of Liability

    1. You agree to indemnify, defend and hold harmless the Company and its parent, subsidiaries, affiliates, shareholders, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from all claims, demands, losses, costs, fees suffered or incurred by them due to or arising out of the User's breach of these Terms of Service including on account of (a) any content transmitted by the User using mySandesh; or (b) fraud, wilful misconduct or gross negligence by the User.

    2. Notwithstanding anything to the contrary the Company and its successors, agents, assigns, and each of their directors, officers, employees, associates, agents, and representatives shall in no event be liable to the User or any other person for (a) any indirect, incidental, special, consequential, punitive or economic loss, expense or damage arising from or in connection with any access, use or the inability to access or use mySandesh platform, the services of mySandesh and data/content or reliance on those, including without limitation, in case of the services, the mySandesh Products, howsoever caused and regardless of the form of action (including tort or strict liability); (b) any downtime costs, loss of revenue or business opportunities, loss of profit, loss of anticipated savings or business, loss of data, loss of goodwill or loss of value of any equipment including software; or (c) any loss or damage arising as a result of a disclosure/sharing or hacking of the User's login details and password, and any improper usage, failure or malfunction of any computer or mobile phone, unavailability of an electricity connection, other telecommunications equipment, any other services or equipment necessary to access mySandesh.

    3. In no event, shall the Company or any of its directors, employees, agents and/or personnel, be liable to the user or any person for any damages, liabilities, losses, and causes of action arising out of or relating to: (a) these Terms of Service or the services rendered by the Company; or (b) the user's use or inability to use the Platform; or (c) any other interactions with mySandesh; however caused and whether arising in contract, tort or in equity including negligence, warranty or otherwise, beyond or in excess INR 1,000, or any amount as may be permitted under applicable laws, whichever is lower.

  6. Governing Law and Dispute Resolution

These Terms of Service will be governed by the laws of India without any application of conflict of law principles. In case of any differences, disputes or disagreements between the User and mySandesh ("Dispute"), the User and mySandesh shall attempt to amicable resolve such dispute within 30 days from the date on which such Dispute arose. In case the User and mySandesh are unable to amicably resolve the Dispute within 30 days from the date on which such Dispute arose, the Dispute may, at the option of the User or mySandesh, be referred to arbitration by a sole arbitrator appointed by mySandesh. The seat of arbitration shall be Bangalore and the language of arbitration shall be English. The award of the sole arbitrator shall be final and binding on the User and mySandesh.
